Eligibility

• Be a representative of a registered business entity
• Have the authority to bind your organization to these Terms
• Provide accurate and complete information during registration

We reserve the right to refuse service or close accounts at our discretion.

Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide truthful and current information during registration
• Promptly update your information if it changes
• Notify us immediately of any unauthorized access or use of your account
• Not share your credentials with unauthorized individuals

Services Description

ClickSpend provides business spend management services, including:

• Virtual cards: issuance and management of virtual payment cards for business use
• Spend controls: customizable limits, approval workflows, and real-time alerts
• Integrations: data syncing with accounting software and ad platforms
• Analytics: spend reporting, reconciliation, and cashback tracking
• API access: programmatic access to card issuance, transaction data, and spend management features

Credit and Payment Terms

Credit Lines

Credit lines are determined through our underwriting process, which evaluates your business profile, ad spend history, and other relevant factors. Credit line amounts, payment terms, and cashback rates are customized per client and communicated in your account agreement.

We reserve the right to adjust, suspend, or revoke credit lines at any time based on changes in risk assessment, account activity, or business conditions.

Payment Obligations

You agree to pay all amounts owed in accordance with the payment terms specified in your account agreement. This includes:

• All card transactions processed on your account
• Any applicable fees as outlined in your agreement
• Late payment charges if balances are not settled by the due date

Cashback

Cashback rates and payout schedules are specified in your account agreement. Cashback is subject to the terms and conditions of your specific arrangement and may be adjusted based on payment term selections.

Acceptable Use

You agree to use our Services only for lawful business purposes. You may not:

• Use the Services for personal, non-business transactions
• Engage in fraudulent, deceptive, or illegal activity
• Circumvent or attempt to circumvent spend controls, limits, or security measures
• Use cards at prohibited merchant categories
• Resell, sublicense, or redistribute access to the Services
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services in a manner that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms.

Card Usage

Virtual Cards

Virtual cards issued through our platform are for authorized business use only. Each card is subject to the spend limits, merchant restrictions, and approval rules configured on your account.

Unauthorized Transactions

You must review your transactions regularly and report any unauthorized activity within 30 days. Failure to report promptly may limit your ability to dispute charges.

Card Suspension

We may suspend or cancel cards at any time if we detect suspicious activity, policy violations, or risk concerns.

Intellectual Property

All content, features, functionality, trademarks, and technology associated with the Services are owned by ClickSpend or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of our Services without prior written consent.

Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.

Third-Party Services

Our Services may integrate with third-party platforms such as accounting software, ad platforms, and banking partners. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the actions, content, or practices of third-party services.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, ClickSpend and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the fees you paid to ClickSpend in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ClickSpend and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate these Terms by providing written notice. Upon termination:

• All outstanding balances become immediately due and payable
• Your access to the Services will be suspended
• Active cards will be deactivated
• We will retain your data as required by law and our data retention policies

We may also suspend or terminate your account immediately if we believe you have violated these Terms.

Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
